Terms of Service
These Terms govern your use of Tagzee, including the mobile application, website, accounts, cloud services, subscriptions, reports, sharing, and related features.
1. Acceptance of Terms
These Terms of Service (“Terms”) are a binding agreement between you and Zero Fault Guidance LLC, doing business as Tagzee (“Tagzee,” “ZFG,” “we,” “us,” or “our”). By downloading, accessing, creating an account for, purchasing through, or using Tagzee or related services (collectively, the “Service”), you agree to these Terms and our Privacy Policy. If you do not agree, do not use the Service.
2. Eligibility and accounts
You must be at least 13 years old and legally permitted to use the Service. If the law where you live requires a higher age or parental consent, you must satisfy those requirements.
You are responsible for providing accurate information, maintaining access to your account email and devices, protecting authentication credentials and verification codes, and all activity occurring through your account unless prohibited by law. You must promptly notify us of suspected unauthorized access.
We may refuse account creation, require verification, limit accounts, or suspend access where reasonably necessary for security, fraud prevention, abuse prevention, legal compliance, or enforcement of these Terms.
3. License and the Service
Subject to these Terms and applicable app-store rules, we grant you a limited, personal, revocable, non-exclusive, non-transferable, non-sublicensable license to use the Service for its intended purposes.
Tagzee may include Mems, tags, search, reminders, templates, linked records, photos, synchronization, backup, reports, import/export, sharing, and other features. Features, interfaces, limits, technical requirements, supported platforms, service providers, and availability may change over time.
We may add, modify, replace, suspend, restrict, discontinue, or reprice features or plans to the extent permitted by law. We are not obligated to continue any particular feature, integration, storage level, synchronization method, report format, or third-party service indefinitely.
4. Free and paid plans; billing
Tagzee may offer free and paid plans with different limits and capabilities. Current pricing, billing periods, plan limits, and features are shown in the app, applicable app store, or website and may change prospectively.
Paid mobile subscriptions are generally processed by Apple’s App Store or Google Play. Subscriptions may renew automatically unless cancelled through the applicable store before renewal. Billing, taxes, refunds, payment methods, renewal, cancellation, and store-specific rights may also be governed by the applicable platform’s terms.
Deleting a Tagzee account does not automatically cancel a subscription billed by Apple or Google. You are responsible for managing subscription cancellation through the applicable store.
If a subscription expires, is cancelled, is refunded, or cannot be verified, we may restrict paid features, storage, creation, reporting, sharing, import/export, or other paid functionality according to the then-current plan rules. We do not guarantee continued access to paid capabilities after entitlement ends.
5. Your content and responsibilities
As between you and Tagzee, you retain ownership of content you create or upload to the Service, subject to rights belonging to others.
You grant Tagzee and our service providers a worldwide, non-exclusive, royalty-free license to host, store, reproduce, format, transmit, synchronize, back up, cache, display, process, analyze, modify for technical purposes, and otherwise use your content as reasonably necessary to operate, secure, support, improve, develop, and provide the Service; comply with law; enforce these Terms; and exercise the rights described in the Privacy Policy.
This license includes the right to generate and use aggregated, statistical, anonymized, or de-identified information derived from content and Service usage as described in the Privacy Policy.
You represent that you have the rights and permissions necessary to store, process, and share the content you place in Tagzee. You are responsible for your content, the accuracy of information you enter, whom you share it with, and consequences of relying on it.
Tagzee is a convenience and organizational tool. It is not a substitute for records that law, regulation, contract, professional practice, or prudent risk management requires you to preserve independently.
6. Data, analytics, and de-identified information
Your use of the Service is subject to our Privacy Policy. To operate and improve Tagzee and our business, we may collect and use usage, engagement, technical, diagnostic, performance, account, and organizational metadata as described there.
To the extent permitted by applicable law and platform requirements, we may create, use, disclose, license, commercialize, and otherwise exploit aggregated or de-identified data, statistics, analyses, benchmarks, trends, and insights derived from operation or use of the Service, provided such information is maintained in a form not intended to identify you as an individual.
Aggregated and de-identified information may include, for example, feature-use trends, counts or frequencies of tags, organizational patterns, retention metrics, performance measures, or market-level insights. Except where required by law, you do not obtain ownership rights in analytics, derived statistics, de-identified datasets, or aggregated insights created by Tagzee.
7. Sharing features
Tagzee may allow you to share a tag or other selected information with invited recipients. You are responsible for selecting recipients and determining what information is included. Adding content to a shared scope may make that content available to existing recipients; removing it may remove access after synchronization or processing completes.
We do not guarantee that a recipient will maintain confidentiality after receiving or viewing information you chose to share. You should not share information unless you are comfortable with the recipient having access to it.
8. Acceptable use
You may not use the Service to violate law or the rights of others, store or distribute unlawful content, introduce malware, interfere with the Service, probe or bypass security, access accounts or data without authorization, circumvent plan or storage limits, abuse invitations or messaging, reverse engineer except where law expressly permits it, scrape or automate access in a manner that burdens the Service, or use the Service in a way that creates unreasonable security, legal, operational, or reputational risk.
We may investigate suspected misuse and take reasonable protective measures, including limiting, suspending, or terminating access.
9. Tagzee intellectual property and feedback
The Service, software, designs, branding, logos, interfaces, documentation, databases, reports, templates, and other materials provided by Tagzee, excluding your content, are owned by or licensed to ZFG and are protected by intellectual-property laws.
If you provide suggestions, ideas, feedback, enhancement requests, or other input about Tagzee, you grant us a perpetual, irrevocable, worldwide, royalty-free right to use, modify, commercialize, and incorporate that feedback without restriction or compensation to you.
10. Imports, exports, reports, reminders, and generated outputs
Imports, exports, reports, reminders, search results, summaries, calculations, generated documents, and other outputs are convenience features based on available data and software behavior. You are responsible for reviewing them for accuracy and suitability.
We do not warrant that any reminder will be delivered at a particular time, that any report is complete or legally sufficient, that imported data will map perfectly, or that exported data will satisfy a particular regulatory, professional, tax, insurance, evidentiary, or archival requirement.
11. Availability, synchronization, backup, and data loss
The Service depends on devices, networks, operating systems, app stores, cloud providers, authentication providers, storage providers, synchronization services, email systems, and other technologies outside our control. The Service may be unavailable, delayed, interrupted, corrupted, limited, or changed.
Synchronization and backup are convenience features and are not guaranteed archival services. We do not guarantee that every item will synchronize, upload, restore, remain available, or be recoverable, or that backups will always be current or complete.
You are responsible for maintaining independent copies of information where loss, delay, corruption, unauthorized access, or unavailability could cause significant harm. To the maximum extent permitted by law, you assume the risk of using Tagzee as the sole repository for important information.
12. Third-party services
The Service may depend on or interact with Apple, Google, cloud infrastructure, authentication, payment, subscription-management, synchronization, storage, email, analytics, diagnostic, and other third-party services. We do not control those services and are not responsible for their availability, changes, acts, omissions, security, terms, or privacy practices except to the extent applicable law provides otherwise.
Your use of third-party services may be subject to separate agreements between you and those providers.
13. Suspension, termination, and account deletion
You may stop using Tagzee at any time. You may initiate account deletion through the app or through the external process at tagzee.com/account-deletion.
We may suspend, restrict, or terminate access, remove or disable content, or take other reasonable action if we believe it is necessary for security, fraud prevention, abuse prevention, legal compliance, operational integrity, protection of users or third parties, nonpayment, or material violation of these Terms.
Provisions that by their nature should survive termination—including ownership, licenses already granted for lawful retained or de-identified data, disclaimers, liability limitations, indemnity, and dispute provisions—will survive to the extent permitted by law.
14. Disclaimers
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICE IS PROVIDED “AS IS,” “AS AVAILABLE,” AND WITH ALL FAULTS. ZFG AND TAGZEE DISCLAIM ALL EXPRESS, IMPLIED, AND STATUTORY WARRANTIES, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, QUIET ENJOYMENT, AVAILABILITY, SECURITY, RELIABILITY, AND THAT THE SERVICE WILL BE ERROR-FREE OR THAT DATA WILL NEVER BE LOST, CORRUPTED, DISCLOSED, OR UNAVAILABLE.
Nothing in these Terms excludes warranties or consumer rights that cannot lawfully be excluded.
15. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, ZFG, TAGZEE, AND THEIR OWNERS, OFFICERS, EMPLOYEES, CONTRACTORS, AFFILIATES, LICENSORS, AND SERVICE PROVIDERS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, CONSEQUENTIAL, OR PUNITIVE DAMAGES; LOST PROFITS OR REVENUE; LOST BUSINESS OPPORTUNITIES; LOSS OF GOODWILL; LOSS, CORRUPTION, DISCLOSURE, OR UNAVAILABILITY OF DATA; COST OF SUBSTITUTE SERVICES; OR DAMAGES ARISING FROM THIRD-PARTY SERVICES, EVEN IF ADVISED OF THE POSSIBILITY.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE AGGREGATE LIABILITY OF ZFG AND TAGZEE FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE SERVICE OR THESE TERMS WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU ACTUALLY PAID TO TAGZEE FOR THE SERVICE DURING THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO LIABILITY OR (B) US $50.
Some jurisdictions do not allow certain exclusions or limitations, so some of the above may not apply to you.
16. Indemnification
To the extent permitted by law, you agree to defend, indemnify, and hold harmless ZFG, Tagzee, and their owners, officers, employees, contractors, and affiliates from claims, liabilities, damages, losses, and reasonable costs arising from your unlawful misuse of the Service, your violation of these Terms, your infringement of another person’s rights, or content you knowingly store or share in violation of law or third-party rights. This obligation does not apply to the extent a claim results from our own unlawful conduct or where applicable consumer law prohibits such an obligation.
17. Governing law
These Terms are governed by the laws of the State of California, USA, without regard to conflict-of-law rules, except where mandatory consumer law requires otherwise. Subject to any mandatory rights you may have, disputes not otherwise resolved will be brought in a court of competent jurisdiction serving San Diego County, California.
18. Assignment
You may not assign or transfer these Terms without our written consent. We may assign or transfer these Terms in connection with a merger, acquisition, financing, reorganization, sale of assets, affiliate restructuring, or by operation of law, subject to applicable law.
19. Severability; waiver; entire agreement
If any provision is found unenforceable, the remaining provisions remain in effect to the maximum extent permitted by law. Failure to enforce a provision is not a waiver. These Terms, together with the Privacy Policy and any applicable plan or feature terms, constitute the agreement between you and us regarding the Service unless applicable law requires otherwise.
20. Changes to the Service or Terms
We may revise these Terms as the Service, our business, pricing, technology, or legal requirements evolve. We will post revised Terms with an updated effective date and provide additional notice or obtain acceptance when required by law. Continued use after revised Terms take effect constitutes acceptance to the extent permitted by law.
